Philip K. Calandrino, Managing Shareholder

I founded the Calandrino Law Firm over a decade ago with the vision of building a strong legal team dedicated to serving the legal needs of business owners and their organizations. Our firm is modeled on a modern and holistic approach to the practice of business law, which brings accumulated legal and business knowledge to every stage of our clients’ ventures.

We work with small business owners to implement a three-part business law philosophy that I developed. The first element of the concept is to synchronize the business’s operations with the economic cycle. That means buying or starting a business when the economy is near the bottom, embarking on an aggressive growth strategy as conditions improve, and either selling to employees, bringing on a significant number of private investors, or making a public offering of shares as the market peaks. That way your business can benefit from the momentum of the market instead of fighting against it.

The second aspect is to build an enterprise structure that keeps your core business assets isolated from the most significant legal risks. In addition to implementing traditional business agreements, we place a special emphasis on asset protection tools, not just for the business’s owners, but also for the organization itself. The methodology uses corporate firewalls and contractual arrangements to protect intellectual property and other valuable business assets. The goal is to create a company that can freely transact business while it shelters its trade secrets, internet domain names, trademarks, patents and customer databases from being pillaged by creditors, unscrupulous competitors, and departing employees.

The last and perhaps most important part of the philosophy is to develop a strong litigation policy.  We recommend paying close attention to the cases that further the long-term strategic goals of the organization and fighting them aggressively. For any others, we promote the use of early case assessment techniques and aggressive but ethical litigation tactics to obtain favorable settlements and verdicts with minimal disruption to your organization.
